Standard Terms & Conditions of Trade

These terms apply to all quotes, estimates, and proposals issued by STATEMENT FLOORS PTY LTD 

1. Acceptance of Quote

By accepting this quote or instructing us to proceed with the work, the client acknowledges agreement to these Terms and Conditions. A written acceptance (including via email or purchase order or commencement of work

will constitute acceptance.

2. Scope of Work

The scope of work is limited to what is described in the quotation. Any additional work, variations, or changes requested by the client will be treated as a variation and quoted separately.

3. Pricing

All prices are quoted exclusive of GST unless otherwise stated. Prices are based on site access, conditions, and information provided at the time of quoting. The quote is valid for 30 days.

4. Payment Terms

Invoices are issued upon completion of work or in accordance with the agreed schedule.

Payment is due within 30 days of invoice unless otherwise agreed in writing.

A 2% monthly late fee may apply to overdue amounts.

The supplier reserves the right to withhold further services until all outstanding payments are received.

5. Variations

Any variation to the agreed scope must be requested in writing and approved before commencement. Variations may impact cost and timeframe. Verbal instructions may not be accepted unless confirmed in writing.

6. Site Access & Responsibilities

The client must provide clear and safe access to the work area.

Work areas must be clean and ready for installation, with adequate lighting and ventilation.

Delays caused by inaccessible or unprepared sites may incur additional charges.

7. Materials & Warranty

All materials remain the property of STATEMENT FLOORS PTY LTD until paid in full.

Manufacturer warranties apply to all products used. Workmanship is warranted for 12 months from completion, in line with the NSW Guide to Standards and Tolerances.

Warranty claims must be made in writing within 7 days of identifying a defect.

8. Workmanship Standards

Work will be performed in a professional manner in accordance with:

– The Building Code of Australia

– Relevant Australian Standards

– The NSW Guide to Standards and Tolerances for flooring installation.

9. Delays

STATEMENT FLOORS PTY LTD Is not liable for delays caused by weather, supplier shortages, industrial action, site readiness, or circumstances beyond its control. A revised completion date will be communicated if delays occur.

10. Liability

The contractor’s liability for any claim (including negligence) is limited to the cost of rectifying defective workmanship. No liability is accepted for consequential or indirect loss.

11. Termination

Either party may terminate the agreement with 5 business days written notice if the other party materially breaches the contract the contractor is entitled to payment for all work performed up to the termination date,

including all materials ordered.

12. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through direct negotiation. If unresolved, the matter may be referred to mediation before formal legal proceedings.

13. Governing Law

These terms are governed by the laws of New South Wales. Any proceedings are to be conducted in the jurisdiction of NSW courts or tribunals.

14. Security of Payment Act

Invoices issued under this contract may be subject to the Building and Construction Industry Security of Payment Act 1999 (NSW). The contractor reserves the right to issue payment claims in accordance with the Act.

15. Entire Agreement

These Terms & Conditions form part of the overall agreement and override any conflicting provisions unless expressly agreed in writing.

16. Retention or Deposit Terms

Unless otherwise agreed in writing, a deposit of 30% of the contract value is required prior to commencement of work. In some cases, retention may apply as per the main contractor’s contract terms. If applicable, retention amounts and release schedules must be agreed in writing prior to work commencement.

17. Installation Schedule Commitments

The contractor will use best endeavor’s to meet the agreed installation schedule. The client must ensure the site is ready on the agreed date. Delays caused by unprepared or inaccessible sites may result in rescheduling and additional costs. If significant delays occur due to reasons beyond the contractor’s control, a revised schedule will be provided.

18. Credit Check Consent

By accepting this quote, the client expressly authorises STATEMENT FLOORS PTY LTD to perform a credit check using publicly available credit information, including reports from credit reporting agencies, to assess the client’s creditworthiness. This may include accessing credit history, payment defaults, and commercial credit data in accordance with the Privacy Act 1988).

19. Personal Property Securities Register (PPSR)

STATEMENT FLOORS PTY LTD reserves the right to register its interest in any goods or materials supplied under this contract on the Personal Property Securities Register (PPSR) in accordance with the Personal Property Securities Act 2009). The client agrees to provide any information and do all things necessary to ensure the registration is effective. Until full payment is received, title to all goods and materials remains with STATEMENT FLOORS PTY LTD

 

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

 

When installed by an applicator from Statement Floors. the materials are warranted against delamination from properly prepared substrates, peeling, cracking and/or blistering of the coating for a period of three years from the invoice date unless stated otherwise, providing the job has been paid in full to terms & by due date .

Statement Floors represents and warrants that the materials used in the installation of your project are free of defects at the time of sale. The materials have been cured and tested in accordance with the standard Quality Control Procedures.

Statement Floors sole liability is limited to replacement of any product shown to perform otherwise than as warranted within the one year period from the date of the application.

This warranty is dependent on the following conditions:

This warranty does not apply to any damages to the coating by physical abuse, failure of the structure or substrate, vandalism, modifications to the substrate the coating is being applied, mechanical impact damage, exposure to heat or flame, incorrect cleaning methods, exposure to solvents and acids, windstorms, lightning, nails, screws, plant life, animal life, abuse or damage of the product by the customer, by other persons or any act of God.

 

 

  1. This warranty does not apply to damage due to gouging and other extensive damage beyond the scope and protections of the system applied, including impact and abrasion other than that for which the system was designed.
  2. This warranty does not apply to damage caused by a hydrostatic water problem, moisture vapour permeating the concrete slab, or exposure to either battery acid or brake fluid. This warranty does not cover changes or oxidation of the coating as a result of normal weathering or atmosphere conditions.
  3. This warranty does not apply to delamination caused by improper substrate condition, or an internal failure of the substrate.
  4. This warranty does not apply to damage caused by cracks in the substrate prior to or occurring after the installation of the floor coating system that appear from ground shift and expansion/contraction of the substrate, cracking due to substrate movement is not under warranty regardless of whether same was repaired during original installation or not. There is no warranty for cracks or crack repair. Areas repaired under this warranty may vary in colour and texture from areas originally installed, which are not repaired. This limited warranty shall not apply in the case of improper substrate construction, exposure of the products to solvents and/or higher concentrations of acids other than that moisture from within, under or adjacent to the concrete surface.
  5. Statement Floors will not be liable for consequential or incidental damages of any kind including but not limited to damages to the structure or its contents resulting from defects in Statement floors coating application. The obligation assumed under this warranty is expressly limited to providing such materials, as provided herein, required to repair any defects covered under this warranty agreement.
  6. Statement Floors responsibilities under this warranty agreement cease if any alterations, additions or repairs are made to the floor coating initially installed by Statement Floors
  7. The products used by Statement floors and the installation of the floor coating/s are sold subject to the express limited warranties contained herein.
  8. Statement Floors. cannot warrant an existing coating adhesion to the concrete or any work that we have not performed. This warranty applies to flaking or chipping coatings caused as a direct result of product failure.
  9. The sole and exclusive maximum liability of Statement Floors under this warranty will be at the option of Statement Floors to patch failing area/areas or recoat all coated areas Statement Floors deems advisable.
  10. The liability of Statement Floors whether based on this warranty, contract or otherwise, shall in no case exceed the purchase price for the product
  11. Statement Floors will not be liable to the customer for any damages, such as but not limited to any lost profits, loss of time and inconvenience or other incidental or consequential damaged arising out of its use of the floor coating, its contents or surroundings and the breach of any warranty.
  12. Should any repair be needed, this warranty is limited to the replacement of the system materials which have failed and specifically excludes, without limitation, bodily injury, loss or use of property, consequential damages and property damaged as a result of such failure.
  13. While slip resistant coating systems applied by Statement floors will help to significantly prevent slip and falls they will not completely prevent such incidences from occurring. The surface may become slippery under certain conditions including but not limited to exposure to wet, oily or greasy conditions. In no event shall Statement Floors be responsible for injury incurred in a slip and fall occurrence. It is the purchaser’s responsibility to provide for their own safety and the safety of their guests and invitees.
